1. Introduction

Welcome to OmniTimer. These Terms of Service ("Terms") govern your use of the OmniTimer application ("App", "Service") provided by Arcanum Labs ("we", "us", "our"). By downloading, installing, or using OmniTimer, you agree to be bound by these Terms.

2. Acceptance of Terms

By accessing or using OmniTimer, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the App.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use OmniTimer for your personal, non-commercial use on devices you own or control.

4. User Accounts

  • You may be required to create an account to access certain features
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must provide accurate and complete information when creating an account
  • You must notify us immediately of any unauthorized use of your account

5. Acceptable Use

You agree NOT to:

  • Use the App for any illegal purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the App or its related systems
  • Interfere with or disrupt the integrity or performance of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove, alter, or obscure any proprietary notices from the App
  • Use the App to transmit any viruses, malware, or harmful code
  • Violate the rights of any third party, including intellectual property rights
  • Use automated systems to access the App without our permission

6. Intellectual Property

6.1 Ownership

All content, features, and functionality of OmniTimer, including but not limited to text, graphics, logos, icons, images, audio clips, software, and data compilations, are the exclusive property of Arcanum Labs or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Trademarks

OmniTimer and all related logos and marks are trademarks or registered trademarks of Arcanum Labs. You may not use these marks without our prior written permission.

7. User-Generated Content

7.1 Your Content

You retain ownership of any content you create or upload using the App. By using the App, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve the Service.

7.2 Responsibility

You are solely responsible for your content and the consequences of sharing it. You represent that you own or have the necessary rights to use and authorize us to use your content.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with:

  • The General Data Protection Regulation (GDPR) (EU) 2016/679
  • Applicable national data protection laws in EU member states
  • Other applicable data protection laws worldwide

9. Payments and Subscriptions

9.1 Pricing

Subscription fees and prices for premium features are displayed in the App. Prices are subject to change with notice.

9.2 Billing

By purchasing a subscription, you authorize us to charge your payment method. Subscriptions automatically renew unless cancelled before the renewal date.

9.3 Taxes

Prices may not include applicable taxes. You are responsible for any applicable sales, use, GST, VAT, or other taxes.

9.4 Refunds

Our Refund Policy is available separately and forms part of these Terms.

10. Free Trial

We may offer a free trial period for premium features. At the end of the trial, your subscription will automatically begin unless you cancel before the trial ends. We reserve the right to modify or terminate free trial offers at any time.

11. Modifications to the Service

We reserve the right to:

  • Modify or discontinue any part of the App with or without notice
  • Update, change, or remove features at any time
  • Suspend or terminate the Service for maintenance or improvements

We will make reasonable efforts to notify you of significant changes that materially affect your use of the App.

12. Termination

12.1 By You

You may terminate your account at any time by discontinuing use of the App and deleting it from your devices.

12.2 By Us

We may suspend or terminate your access to the App immediately, without prior notice or liability, if you breach these Terms or for any other reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity

12.3 Effect of Termination

Upon termination, your right to use the App will immediately cease. We may delete your account and data in accordance with our Privacy Policy.

13. Disclaimers

13.1 "As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

13.2 No Guarantee

We do not warrant that:

  • The App will meet your requirements
  • The App will be uninterrupted, timely, secure, or error-free
  • The results obtained from use of the App will be accurate or reliable
  • Any errors in the App will be corrected

13.3 Use at Your Own Risk

Your use of the App is at your sole risk. We do not warrant that the App is free of viruses or other harmful components.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

14.1 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the App
  • Any conduct or content of any third party on the App
  • Any content obtained from the App
  • Unauthorized access, use, or alteration of your transmissions or content

14.2 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

14.3 Applicable Law

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Arcanum Labs, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or conduct on the App

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and applicable national laws of EU member states, without regard to conflict of law provisions.

16.2 Jurisdiction

For users in the European Union: Any disputes arising from these Terms or your use of the App shall be subject to the jurisdiction of the courts in your country of residence, as provided under EU consumer protection law.

For users outside the EU: Disputes shall be governed by the laws of your local jurisdiction where permitted.

16.3 Mediation

In accordance with EU consumer protection directives, you have the right to resort to a mediation procedure in the event of a dispute. You can contact a consumer mediator approved by your national regulatory authority.

16.4 EU Online Dispute Resolution

For EU users, the European Commission provides an Online Dispute Resolution (ODR) platform, which you can access at: https://ec.europa.eu/consumers/odr

17. Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms, which will otherwise remain in full force and effect.

19. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Arcanum Labs regarding the use of the App and supersede any prior agreements between you and us relating to the App.

21. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without your consent to any affiliate or in connection with a merger, acquisition, or sale of assets.

22. Third-Party Services

The App may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

23. Updates to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the new Terms in the App
  • Sending you an email notification (if you have provided an email address)
  • Displaying a prominent notice in the App

Your continued use of the App after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the App.

25. Language

These Terms are drafted in English. In case of any discrepancy between the English version and any translation, the English version shall prevail, to the extent permitted by applicable law.

By using OmniTimer, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
